PART 1: TERMS AND CONDITIONS OF USE

1. Introduction and Binding Agreement
1.1 Contractual Relationship: These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('the User', 'Trader', or 'Customer') and SER Ltd ('the Company'), the owners and operators of makeaquote.co.uk.
1.2 Acknowledgement of Terms: By accessing the website, you acknowledge that you have read, understood, and agreed to be bound by all sections of this document. If you do not agree with these terms, you are prohibited from using the platform and must discontinue use immediately.
1.3 Amendments: SER Ltd reserves the right, in its sole discretion, to modify this document at any time. It is the responsibility of the User to periodically review these terms to stay informed of updates.

2. Definitions and Interpretation
2.1 'Company' refers to SER Ltd, a company registered under the laws of England and Wales, including its directors, officers, shareholders, employees, agents, and subcontractors.
2.2 'Platform' refers to the website makeaquote.co.uk, its underlying software, source code, databases, tracking architecture, infrastructure, templates, and automated email transmission systems operated by SER Ltd.
2.3 'Trader' refers to any sole trader, partnership, limited company, business, corporate entity, or professional service provider that registers an account on the Platform to generate and send quotes to prospective clients.
2.4 'Customer' refers to any individual, consumer, or business entity who receives, views, or interacts with a quote generated via the Platform.
2.5 'Quote' refers to any estimate, quotation, breakdown of costs, scope of work, timeline, or contractual proposal generated by a Trader using the Platform's digital tools and transmitted via the Platform's email delivery servers.
2.6 'Services' refers to the provision of the digital quote-creation interface, the automated email delivery system, and the tracking mechanism that reports to the Trader when a Customer views a quote.
2.7 'Third-Party Infrastructure Providers' refers to external companies that provide the remote server hosting, cloud database storage, technical data routing, transactional email relays, and network bandwidth utilized to power the Platform.

3. Nature of the Platform
3.1 No Venue for Contracting: The Platform is strictly a passive, technological venue designed to facilitate the creation and electronic transmission of quotes. SER Ltd does not act as an agent, broker, employee, employer, contractor, or partner to either Traders or Customers.
3.2 No Privity of Contract: Any agreement, contract, verbal understanding, or arrangement entered into between a Trader and a Customer following the transmission of a quote is strictly between those two parties. SER Ltd is not a party to any contract for works, services, or goods between Traders and Customers.
3.3 No Vetting or Endorsement: SER Ltd does not vet, verify, background check, license, accredit, or audit any Trader using the Platform. The inclusion of a Trader on the Platform does not constitute an endorsement or recommendation.

4. Trader Accounts and Obligations
4.1 Registration and Security: To access quote-generation features, Traders must register for an account. Traders must provide accurate, current, and complete information during registration and are solely responsible for safeguarding their account credentials.
4.2 Lawful Operation: Traders represent and warrant that they possess all necessary business licenses, trade registrations, insurance policies, and professional certifications required by law to execute the works quoted.
4.3 Content Accuracy: Traders accept sole and absolute responsibility for the accuracy, legality, completeness, and clarity of all information inserted into a Quote, including pricing, labor costs, materials, timelines, and VAT obligations.
4.4 Consumer Protection Compliance: Traders are solely responsible for ensuring that their quotes and business practices comply with all relevant UK consumer protection legislation, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

5. Quote Transmission, Delivery, and View Tracking
5.1 Delivery Limitations: The Platform transmits quotes via automated electronic mail (email). SER Ltd does not guarantee successful inbox delivery. Delivery may be delayed, blocked, or categorized as spam/junk by third-party email service providers. SER Ltd is not liable for any lost revenue or missed opportunities caused by non-delivery or delayed delivery.
5.2 View Reporting/Tracking Mechanism: The Platform incorporates a tracking system designed to notify the Trader when a Customer opens or views a quote.
5.3 Technical Disclaimer: Traders acknowledge that this tracking mechanism relies on technology that may be blocked by a Customer's email client privacy settings, image-blocking software, virtual private networks (VPNs), or ad-blockers.
5.4 Accuracy of Tracking: SER Ltd does not warrant that 'viewed' reports are 100% accurate or error-free. A report showing a quote as 'viewed' may be triggered by automated email scanners or previews. Traders must not rely solely on the Platform's notifications to determine if a Customer has read or agreed to a quote.

6. Fees, Payments, and Cancellations
6.1 Subscription Fees: Access to certain features of the Platform may require the payment of subscription fees. All fees are clearly stated prior to purchase and are exclusive of VAT unless specified otherwise.
6.2 Non-Refundability: All fees paid to SER Ltd are strictly non-refundable to the maximum extent permitted by applicable law, regardless of whether the Trader successfully wins any jobs through the Platform.
6.3 Account Suspension for Non-Payment: Failure to pay subscription fees on time will result in the immediate suspension or termination of access to the Platform.

7. Prohibited Conduct and Intellectual Property
7.1 Prohibited Activities: Users may not use the Platform for any fraudulent, deceptive, or illegal purpose; transmit or upload any malware, viruses, or malicious code; or use the email delivery system to send unsolicited bulk marketing messages (Spam).
7.2 Intel Property Rights: The Platform, including its source code, databases, functionality, software, website designs, text, photographs, and graphics, are owned or licensed by SER Ltd and are protected by copyright, trademark, and other intellectual property laws of the United Kingdom.

8. Absolute Termination and Account Deletion Rights
8.1 Termination At Will: SER Ltd reserves the absolute and unconditional right to deny access to, suspend, deactivate, restrict, or permanently terminate any account at any time, for any reason or for no reason at all, completely at its sole discretion, without prior notice, explanation, warning, or justification.
8.2 Exclusion of Liability for Termination: The User acknowledges and explicitly agrees that SER Ltd shall bear no liability, legal responsibility, or financial obligation to the User or any third party for any loss of data, loss of historical quotes, loss of tracking analytics, disruption to business operations, or loss of revenue resulting from the Company exercising its right to terminate or suspend an account. The Company is under no obligation to disclose the grounds, reasoning, or metrics behind any operational decision to close an account.

PART 2: PRIVACY POLICY & GDPR COMPLIANCE STATEMENT

1. Scope, Status, and Data Controller Identity
1.1 Commitment to Privacy: SER Ltd is committed to compliance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations (PECR).
1.2 Data Controller Details: For the purpose of data protection legislation, SER Ltd acts as a Data Controller for the personal data collected from its registered Traders and website visitors.
1.3 Data Processor Status: Where a Trader enters Customer contact details into the Platform solely for the purpose of generating and emailing a quote, SER Ltd acts as a Data Processor operating on the direct instructions of the Trader (who acts as the independent Data Controller for that Customer's data).

2. Categories of Personal Data Collected
2.1 From Traders: Account information including full name, business name, company registration numbers, addresses, telephone numbers, email addresses, and payment card tokens processed via secure third-party gateways.
2.2 From Customers (Entered by Traders): Name, physical address of work site, delivery address, email address, telephone number, and specific job requirements provided by the Customer to the Trader.
2.3 Automatically Collected Data: IP addresses, device identifiers, browser types, operating systems, and tracking analytics (date and time when a customer who received a quote, actually clicked a link in their email to view their quote).

3. Legal Bases for Processing Data
3.1 Performance of a Contract: Processing is necessary to provide the Services, manage accounts, send quotes, and compile tracking reports as requested by the Trader.
3.2 Legitimate Interests: Processing is necessary for our legitimate interests in maintaining security, preventing fraud, and optimizing the platform UI/UX.
3.3 Legal Obligation: Processing is necessary to comply with financial accounting laws, tax audits, and regulatory reporting requirements.

4. Detailed Processing & Quote Access Notifications
4.1 Operation of Quote Access Recording: When a Trader generates a quote and shares it with a Customer via the Platform, the quote is delivered via a secure link sent by email. When the Customer accesses the quote using this secure link, the Platform records the quote reference and the date and time of access. This processing does not involve tracking email opens or monitoring email engagement.
4.2 Notification to Traders: Where a Customer accesses a quote via the secure link, the Trader who issued the quote is notified that the quote has been accessed. This notification may include the quote reference, customer name and the date and time of access. This notification is limited to information necessary to indicate that the quote has been viewed.
4.3 Transparency: Prior to accessing the quote by clicking the link, the Customer is informed by text immediately above the link that access to the quote will result in a notification being sent to the relevant Trader.
4.4 Legal Basis: This processing is carried out on the basis of the legitimate interests pursued by SER Ltd in facilitating the efficient provision, management, and follow-up of quotations between Traders and Customers. We consider that this processing is necessary for the operation of the Platform and does not override the rights or freedoms of Customers, as the Customer is informed that access will generate a notification to the Trader.
4.5 No Data Selling: SER Ltd does not sell, rent, lease, or monetize personal data to third-party marketing firms under any circumstances.

5. Data Disclosure and Third-Party Sub-Processors
5.1 Infrastructure Providers: We may disclose necessary personal data to selected third parties to maintain the Platform, including cloud hosting companies within the UK/EEA, secure PCI-DSS compliant merchant services, and transactional email relay systems used solely to execute the delivery of quotes.
5.2 Legal Authorities: Data may be shared if compelled by law enforcement, court order, or the Information Commissioner's Office (ICO).

6. International Data Transfers
6.1 Protection Framework: SER Ltd strives to keep personal data within the UK and the European Economic Area (EEA). If data must be transferred to a third country, we ensure that the transfer relies on an adequacy decision or standard contractual clauses (SCCs) combined with binding corporate rules to guarantee the safety of the information.

7. Data Retention Policy
7.1 General Retention: We retain data for as long as an account remains active or as required to fulfill the operational purposes described.
7.2 Financial Records: In compliance with HM Revenue & Customs (HMRC), financial and transactional records are retained for a minimum of 6 years plus the current financial year.

8. Data Subject Rights (GDPR)
8.1 Rights Enumerated: Users and Customers whose data we process possess the right of access, right to rectification, right to erasure, right to restrict or object to processing, and the right to data portability.
8.2 Submitting Requests: To exercise any of these rights, please contact our Data Protection representative at SER Ltd. If unsatisfied, you have the right to lodge a complaint with the Information Commissioner's Office (ICO).

PART 3: LIABILITY DISCLAIMER

1. Complete Exclusion of Liability
1.1 Exclusion of Material and Financial Losses: To the maximum extent permitted by applicable law, SER Ltd, its directors, officers, employees, shareholders, affiliates, agents, or licensors shall not be liable to any User (whether Trader or Customer) for any losses, damages, or costs whatsoever arising under contract, tort (including negligence), breach of statutory duty, or otherwise.
1.2 Explicitly Excluded Categories: This exclusion applies without limitation to:
* Loss of business profits, revenue, or salary.
* Loss of business opportunities or commercial contracts.
* Loss of goodwill, reputation, or projected savings.
* Business interruption, delays, shutdowns, or project cancellations.
* Loss of data, corrupted files, or data recovery costs.
1.3 Liability Cap: If, notwithstanding the exclusions set out in this document, SER Ltd is found liable to a User by a court of competent jurisdiction on any basis, the total aggregate liability of SER Ltd shall be strictly limited to the total amount of fees paid by you to SER Ltd in the twelve (12) month period immediately preceding the event giving rise to the liability, or the sum of fifty pounds sterling (£50.00), whichever is the lesser.

2. Exclusion of Liability for Incompetence, Negligence, Mismanagement, and Errors
2.1 Provision 'As-Is': The Platform and all associated quote-delivery services are provided entirely on an 'as-is' and 'as-available' basis.
2.2 Total Disclaimer for Operational Failures: SER Ltd explicitly excludes any and all liability for its own errors, system bugs, software logic flaws, administrative failures, service interruptions, or operational incompetence.
2.3 Explicit Disclaimer of Incompetence: The User acknowledges, understands, and explicitly agrees that SER Ltd shall not be held liable, legally responsible, or financially accountable under any circumstances if the platform fails to operate correctly, transmits corrupted or faulty data, miscalculates quote sums, displays inaccurate tracking metrics, suffers catastrophic data loss, or causes operational disruption, even where such failures occur as a direct result of the Company's absolute incompetence, negligence, lack of skill, technical oversight, poor workmanship, or structural mismanagement.
2.4 Voluntary Assumption of Risk: By registering an account or interacting with the platform, the User accepts all risks associated with any potential administrative or technical incompetence by SER Ltd and waives any right to sue or claim damages based on such grounds.

3. Third-Party Web Hosting and Transactional Email Disclaimers
3.1 Dependency on Third Parties: The User acknowledges and agrees that the operational existence of the Platform, including the storage of data and the transmission of automated emails, relies completely upon external Third-Party Infrastructure Providers (including web hosting servers, data centers, and email distribution relays) that are not owned, operated, or controlled by SER Ltd.
3.2 Total Disclaimer for Server and Hosting Failures: SER Ltd explicitly disclaims any and all liability for losses, structural damages, or missed business revenue resulting from the actions, omissions, glitches, or outages of these third-party providers. This includes:
* Total hosting server crashes, hardware failures, cloud storage corruption, or unrecoverable database loss.
* Website downtime, slow loading speeds, or local network dropouts.
* The complete breakdown of third-party transactional email relays, resulting in quote emails failing to send, failing to arrive, or being permanently dropped by recipient networks.
* IP address blacklisting of our email servers by internet service providers, causing quote emails or tracking data to be auto-routed to spam, junk, or quarantine folders.
3.3 Independent Liabilities: Any technical fault, server outage, security breach, or network delay originating at the level of our third-party web host or email service provider shall be deemed entirely outside the control of SER Ltd. The Company shall bear no responsibility for such events, even if the choice, configuration, integration, or management of such third-party utilities by SER Ltd is deemed negligent, inadequate, or incompetent.

4. Third-Party Interactions and Contractual Disputes Disclaimer
4.1 Independent Parties: Traders and Customers operate entirely independently of SER Ltd. SER Ltd does not control, supervise, direct, or regulate the conduct of Traders or Customers.
4.2 Ultimate Disclaimer of Dispute Liability: SER Ltd explicitly disclaims any and all liability, losses, claims, demands, costs, or damages arising out of, or in any way connected to, disputes between Traders and Customers. This includes:
* Disputes over pricing discrepancies, under-quoting, over-quoting, billing errors, or hidden charges.
* Unsatisfactory, defective, unsafe, or non-compliant trade workmanship.
* Property damage, structural collapse, fire, bodily injury, or death occurring at a job site or customer property during the execution of a job.
* Delays in starting, completing, or abandoning a job by a Trader.
* Non-payment, delayed payment, or credit fraud perpetrated by a Customer against a Trader.

5. System Calculation and Logic Disclaimer
5.1 Verification Responsibility: While the Platform provides computational tools to add line items or calculate percentages and taxes, the Trader remains entirely responsible for verifying the final figures before dispatch.
5.2 Error Allocation: SER Ltd cannot be held liable for mathematical glitches, formatting failures, decimal point errors, or software logic flaws that result in incorrect or unviable quotes being communicated to Customers.

6. Force Majeure
6.1 Unforeseen Events: SER Ltd will not be held liable, responsible, or deemed in default for any failure or delay in the performance of its operational obligations under these terms arising from forces beyond its reasonable control, including grid failures, localized or widespread internet outages, cyber-attacks, hosting provider infrastructure collapses, or government intervention.

7. No Reliance on Representations
7.1 Absolute Scope: No statement, advice, email response, telephone communication, or documentation issued by any employee, representative, director, or subcontractor of SER Ltd shall alter, amend, or weaken this Disclaimer. You acknowledge that you place no reliance on any external representation not formally captured in this written agreement.

PART 4: MISCELLANEOUS AND LEGAL GENERALITIES

1. Indemnification
1.1 Absolute Obligation to Indemnify: To the maximum extent permitted by applicable law, you (the User, whether acting as a Trader, Customer, or representative of a business entity) agree to fully and completely defend, indemnify, save, hold harmless, and exonerate SER Ltd, alongside its parent companies, subsidiaries, affiliates, directors, officers, shareholders, employees, agents, representatives, co-branders, partners, and subcontractors (collectively, the 'Indemnified Parties'), from and against any and all claims, demands, causes of action, lawsuits, regulatory proceedings, losses, damages, liabilities, fines, penalties, settlements, costs, and expenses.
1.2 Scope of Costs Covered: This indemnity includes, without any limitation, all direct financial losses, indirect losses, loss of business reputation, reasonable professional legal fees, administrative court costs, expert witness fees, and any out-of-pocket expenses incurred by the Indemnified Parties in defending or responding to any action.
1.3 Indemnity Triggers: This comprehensive obligation to indemnify arises directly from, relates to, or is connected with:
* Your access to, use of, or misuse of the Platform, the quote-generation software, or the email tracking services.
* Any content, data, numbers, text, descriptions, pricing, or details you enter, store, generate, or transmit through the Platform (including errors, omissions, or miscalculations in Quotes).
* Any breach or non-performance by you of any clause, condition, warranty, or obligation contained within these Terms, the Privacy Policy, or the Disclaimer.
* Any system downtime, email non-delivery, data loss, or server failure originating from Third-Party Infrastructure Providers that disrupts your business activities.
* Any violation by you of third-party rights, including but not limited to intellectual property rights, confidentiality, or defamation.
* Any breach of data protection laws or UK GDPR obligations resulting from your use of our 'Quote Viewed' tracking mechanics without providing adequate statutory notices or obtaining necessary legal bases from your Customers.
* Any commercial dispute, contractual breakdown, operational failure, non-payment, or property damage arising from the real-world relationship established between a Trader and a Customer via a quote generated on makeaquote.co.uk.
1.4 Control of Defense: SER Ltd reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Company, and you agree to cooperate fully and without delay with our defense of these claims. You agree not to settle any matter involving the Company without the express prior written consent of SER Ltd.

2. Severability
2.1 Survival of Valid Terms: If any provision, clause, or sub-clause of this document is determined by a court or administrative body of competent jurisdiction to be invalid, illegal, unenforceable, or void under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.
2.2 Remaining Clauses: If modification is not possible, the specific provision shall be severed from this document, and the invalidity of such provision shall not affect the legality, validity, and full enforceability of any of the remaining provisions.

3. Entire Agreement
3.1 Total Agreement: This integrated document constitutes the entire, absolute, and exclusive agreement between you and SER Ltd regarding your use of makeaquote.co.uk. It supersedes and extinguishes all prior agreements, promises, assurances, warranties, representations, and understandings between us, whether written or oral.

4. No Waiver
4.1 Enforceability Retention: No failure or delay by SER Ltd to exercise or enforce any right, power, or remedy provided under these Terms shall operate as a waiver of that right, nor shall any partial or single exercise of any right prevent any further or future exercise of that or any other right.

5. Third-Party Rights
5.1 Exclusion of Third Parties: A person or entity who is not a direct party to this agreement shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce or rely upon any term of this agreement.

6. Governing Law and Jurisdiction
6.1 Choice of Law: This entire document, its interpretation, formation, construction, performance, and any non-contractual disputes or claims arising out of or in connection with it shall be governed by, and construed strictly in accordance with, the laws of England and Wales.
6.2 Venue for Dispute Resolution: You and SER Ltd irrevocably agree that the courts of England and Wales shall have absolute and exclusive jurisdiction to hear, settle, determine, and resolve any dispute, controversy, claim, or lawsuit arising out of or relating to this agreement or the use of the Platform.
